The latest version of the terms and conditions and all other ArtYogi policies will be posted on this site, and you should review these terms and conditions and all other ArtYogi policies prior to purchasing any product and using the Services that are available through this site. By using the Site, you consent to all of our policies posted on the Site. Access to the Site is permitted on a temporary basis and we reserve to withdraw or amend the Services without notice. We will not be liable if for any reason the website is unavailable at any time or for any period. From time to time, we may restrict access to some parts or all of this Site.

These terms and conditions apply to users of the Site, including 3rd Party Vendors (defined below) and customers. We may also terminate the membership of any user, including 3rd Party Vendors and customers at our sole and absolute discretion.

The Site may contain links to other websites (Third Party Sites) which are not operated by us. We have no control over the Third Party Sites and we accept no responsibility for the Third Party Sites or for any loss or damage that may arise from your use of these sites. Your use of the Third Party Sites will be subject to the terms and use of each site.

You must not misuse the Site. The following actions are strictly prohibited:

• Committing or encouraging a criminal offense;
• Transmitting or distributing a virus, Trojan, worm, logic bomb or any other material which is malicious or technologically harmful, obscene, in breach of confidence or harmful in any way;
• Hacking into the Site;
• Corrupting data;
• Causing annoyance to customers, 3rd Party Vendors, or other user;
• Infringing on the intellectual property rights of others;
• Sending unsolicited advertising material (spam);
• Posting slanderous or libelous material;
• Impersonating individuals, including posing as an ArtYogi employee;
• Posting pornographic material or other threatening material; and,
• Attempting to affect the performance or functionality of computer facilities of or accessed through the Site.

We will report any alleged criminal activity to the appropriate law enforcement authorities and disclose the identity of any individual suspected of criminal activity on the Site. We are not responsible for any loss or damage caused by a virus or any other technologically harmful material that may infect your computer or property due to your use of the Site.

The intellectual property rights in all software and content (including photographic images and video content) made available to you through this Site remain the property of its owner. You are not permitted to publish, manipulate, distribute or otherwise reproduce, in any format, the content or copies of the content supplied to you or which appears on this Site nor may you use any such content in connection with any business or commercial enterprise.

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right at any time after receipt of your order to accept, decline, or limit your order for any reason, whether or not your credit card has been charged. We reserve the right at any time after receipt of your order, without prior notice to you, to supply less than the quantity you ordered of any item. We make every effort to maintain the availability of our site. However, should we experience technical difficulties, we are not responsible for orders that are not processed or accepted. When placing an order you undertake that all details you provide are true and accurate, that you are an authorized user of the credit or debit card used to place your order, and that there are sufficient funds to cover the costs of the goods. WHEN AN ORDER IS MADE WITH A 3RD PARTY VENDOR, WE ARE NOT ACTING AS AN AGENT OR PRINCIPAL AND THE CONTRACT IS MADE BETWEEN YOURSELF AND THE 3RD PARTY VENDOR AND WILL BE SUBJECT TO THE TERMS OF SALE OF SAID 3RD PARTY VENDOR. We do not endorse any items sold by the 3rd Party Vendors or any content posted by them. 3rd Party Vendors have their own processing times and policies and procedures, including but not limited shipping policies, privacy policies and return policies. The descriptions of Services that are posted on our site by 3rd Party Vendors are the representations of such vendors. We are not responsible for the accuracy of such descriptions, nor are we responsible for typographical, pricing, product information, advertising or shipping errors of 3rd Party Vendors. We are constantly updating and revising our offerings of ArtYogi Products, and we may discontinue ArtYogi Products and Services at any time without notice. To the extent that we provide information on availability of ArtYogi Products, you should not rely on such information, and we will not be liable for any lack of availability of Artoygi Products and/or Services that you may order through our site. All pricing for ArtYogi Products available on our site is subject to change without notice. For all of our prices and ArtYogi Products, we reserve the right to make adjustments due to changing market conditions, product discontinuation, manufacturer price changes, errors in advertisements and other extenuating circumstances. We are not responsible for the pricing information provided by 3rd Party Vendors.

Upon receiving your order, we carry out a standard authorization check on your payment card to ensure there are sufficient funds for the transaction. Your card will be debited upon authorization being received. The monies received upon the debiting of your card shall be treated as a deposit against the value of the goods you wish to purchase. Once the goods have been dispatched and you have been sent a confirmation email, the monies paid as a deposit shall be used as consideration for the value of the goods you have purchased as listed in confirmation email.

Your credit card will be charged when the order is shipped. If we are not able to fulfill your order for any reason after your card is charged, your credit card will be refunded.

In addition to any excuse provided by applicable law, we shall be excused from liability for non-delivery or delay in delivery of ArtYogi Products and service available through our Site arising from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to, labor disturbance, war, fire, accident, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above.

These terms and conditions constitute the entire agreement and understanding between us concerning the subject matter hereof and supersedes all prior agreements and understandings of between us with respect thereto. These terms and conditions may NOT be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for ArtYogi Products and/or Services which are subject to additional or altered terms and conditions shall be null and void, unless otherwise agreed to in a written agreement signed by you and us.

This Site (excluding linked site) is controlled by us from our offices within the State of California, United States of America. It can be accessed from all 50 states, as well as from other countries around the world. As each of these places has laws that may differ from those of California, by accessing this site both of us agree that the statutes and laws of the State of California, without regard to the conflicts of laws principles thereof, will apply to all matters relating to the use of this site and the purchase of ArtYogi Products and services available through this site. Each of us agrees and hereby submits to the exclusive personal jurisdiction and venue of the Superior Court of San Diego County and the United States District Court for the District of California with respect to such matters.

artyogi.com (Site), a website owned and operated by ARTYOGI, INC., a California corporation (ArtYogi) is an online marketplace where artists and other sellers can sell and showcase their own unique items to customers all over the world (hereinafter referred to as Seller(s)). It is our goal to make your experience as a Seller a positive one, where you will feel protected and be able to successfully sell your goods. Please familiarize yourself with our policies in order to understand your rights and obligations as a Seller.

The Site is meant for Sellers to come together and list unique handmade items at great prices. ArtYogi partners with a variety of Sellers in order to bring customers to a single place for their most wanted goods. Sellers may only offer products that are handmade, individualized, restored, refined, custom-made or vintage. ArtYogi reserves the right to remove any listings without prior notice should we feel that these listings are in breach of this Seller’s policy, any other ArtYogi policy, or in violation of the law. ArtYogi further reserves the right to remove any listings without prior notice should we feel that the listings undermine ArtYogi’s mission in our sole and absolute discretion. Sellers must be prepared to provide proof that the items meet our product criteria upon request.

For the purposes of this Site, handmade items are (1) items that are handcrafted by the Seller; (2) items that are designed by the Seller and handcrafted for small-scale production; (3) or handcrafted items that otherwise made with the direct input and influence of the Seller. Items produced by mass production are strictly prohibited. In short, each Seller must be actively involved in the process of the design and creation of each item. All custom item listings must include a preset established price. All items must be appropriately labeled.

The resale of a handmade item made by a third party is strictly prohibited, provided however, a Seller may resell a handmade item made by a third party so long as (1) the Seller makes it clear in the listing that the item listed was not made by the Seller and; (2) the Seller gives credit to the creator of the handmade item within the listing if the Seller knows his, her, or its identity. For the purposes of this section, a handmade item made by a third party is an (1) item that was handcrafted by the third-party; (2) an item that was designed by the third-party and handcrafted for small scale production; (3) or a handcrafted item that was otherwise made with the direct input and influence of the third party. Seller shall use its best efforts to confirm that the item made by a third party meets this criteria.

Sellers are permitted to resell vintage items and collector’s items, so long as the Seller makes it clear in the listing that the items are vintage and/or collector’s items, and not handmade. Vintage items are accessories, jewelry, bags, design pieces, furniture, art, and antiques items that were created at least 20 years ago. Collector’s items are accessories, jewelry, bags, design pieces, furniture, art, and antiques that are sought after or valued highly by collectors.

ArtYogi permits the sale of numbered copies by Sellers who create the art piece. Mass printed art pieces are strictly prohibited.

The following items may not be sold on the Site, as they are strictly prohibited:

• Drug paraphernalia
• Animals
• Credit cards
• Gift Cards
• Government documents
• Licenses
• Lottery tickets
• Pesticides
• Prescription drugs
• Offensive material
• Stocks and securities
• Gambling devices
• Items that violate the intellectual property rights of others
• Pornography
• Recalled Items
• Weapons
• Illegal items

To be approved as a Seller and create your store, ArtYogi will require you to complete an 8 step registration process (Registration Process). ArtYogi will contact you within 24 hours to inform you of whether you have been approved. ArtYogi must approve, among other things, your shipping policy, privacy policy and return policy, which each Seller is required to have. ArtYogi reserves the right to reject disapprove any Seller in its sole and absolute discretion for any reason or no reason at all.

Seller shall pay a $9.99 monthly membership fee on the first business day of each month, which allows Seller to list up to 100 listings at any given time. If Seller wishes to list more than 100 listings at any given time, Seller should contact ArtYogi at service@artyogi.com to purchase extra storage at competitive rates. The monthly membership fee will be charged to the credit card provided by the Seller/Artist during the Registration Process.

By using this site, you authorize ArtYogi to act as your payment and refund agent. When your item sells, ArtYogi collects the full amount paid by the customer, which includes the item price and any shipping, sales taxes, gift-wrap, or any other charges. You will be charged a five percent (5%) plus thirty cents ($.30) commission rate on the full amount paid by the customer, which includes the item price and any shipping, sales taxes, gift wrap, or any other charges. Your payment proceeds for each product will be transferred into the account designated in the Registration Process on the first (1st) Monday following the expiration of the return period for the product sold, so long as the customer has not initiated a return. Seller will not be entitled to any payment whatsoever for returned products. Seller agrees to take all actions necessary to advise ArtYogi on all matters related to the status of returned products.

Sellers are expected to provide the highest level of customer care. You must ensure that when a purchase is made, the item is ready for shipping. If the customer receives an incorrect item or defective item, please work diligently to rectify the error. All Sellers agree to:

• Refrain from listing items which they do not have in stock, except for custom handmade items;
• Accurately and truthfully describe the items they list;
• Choose appropriate categories for their items;
• Fulfill all orders and ship in the time offered to the customer. If circumstances do not allow for proper fulfillment, Seller must notify the customer immediately;
• Respond to communications promptly;
• Attempt to amicable resolve any disputes with the customers. If you are unable to work toward a resolution, please contact service@artyogi.com and we will try to help you to resolve the situation. Seller is responsible for any expenses incurred by ArtYogi during this process.

You represent and warrant that you hold the intellectual property rights for any content you post. By using the Site, you grant ArtYogi and its affiliates a royalty-free, non-exclusive, worldwide, perpetual, irrevocable right and license to use in any manner in which we see fit any and all of the content you submit to ArtYogi. You represent and warrant that you own or otherwise control all of the rights to the content you submit to ArtYogi and its affiliates and that the use of such materials by ArtYogi and its affiliates will not infringe upon or violate the rights of any third party.

ArtYogi reserves the right to terminate the membership of any Seller at any time, without prior written notice. We reserve the right to modify this Seller’s Policy at any time in our sole discretion. By continuing to use this Site, you agree to be bound by all modifications to this Seller’s Policy, which will be posted on our Site. You further agree to be bound by all other policies listed on the Site and all modifications thereto. You further agree to be bound by the terms and conditions prompted during the Registration Process.

This policy applies only to products and services purchased directly from ArtYogi, Inc. (ArtYogi). While ArtYogi offers products and services purchased directly from Artygoi on our site, there are many third party vendors who also offer products and services on our site (3rd Party Vendors). 3rd Party Vendors are also referred to as Sellers throughout our site. When an order is placed with a 3rd Party Vendor, ArtYogi is not acting as an agent or principal and the contract is made between yourself and the 3rd Party Vendor. Such orders will be subject to the return policies and all other polices which are determined and implemented by the 3rd Party Vendor. If you have a refund, return or exchange request for an order placed with a 3rd Party Vendor, please contact them directly or click my orders or return management on your dashboard and follow the prompts which will appear on your screen.

Your item must be in its original unused and unopened condition to be returned, unless the product is defective, as determined by ArtYogi in its sole discretion. You must return the item within thirty (30) days of your purchase. In the event, a product is damaged, defective, or a wrong product was delivered, ArtYogi will provide free shipping by refunding the shipping costs, if any, and provide free return shipping by sending you a return label for each return item.

ArtYogi takes pride in its easy return policy. Simply select my orders or return management from your dashboard and follow the prompts that will appear on your screen. You may also contact our return department at admin@artyogi.com. A customer service representative will provide you with a Return Merchandise Authorization (RMA) number and return address. We will not return any items without an RMA number. When requesting an RMA number, please provide the following information: customer name, invoice or order number, SKU number, and nature of the problem.

If a product is returned because it is defective or the because the wrong product was sent to you (as determined by ArtYogi in its reasonable discretion), at your election, we will (1) replace the returned product (if in stock) with no additional shipping cost to you or (2) refund you the full purchase price, including any shipping costs, taxes, and gift wrapping costs.

If the product is being returned for any other reason whatsoever, you will be responsible for all shipping costs whatsoever. For such returns, at your election, we will (1) replace the returned product (if in stock) and charge you for all shipping costs to ship the replacement product and return the product or (2) refund the full purchase price, including tax, less all shipping costs, including the costs to initially ship and return the product, and less gift wrapping costs.

To cancel an order that you have placed with ArtYogi, you can go to your dashboard and click “My Orders” to find out the status of the order. If the order is still being processed, you may click the option to cancel the order at no cost to you or contact customer support by email at support@artyogi.com. Every effort will be made to accommodate the cancellation of your order as long as it has not been shipped as yet. When contacting customer support to cancel an order, please be ready to provide your name, the order number and your contact information. Please note, if the item has shipped, the order cannot be canceled. In this case, you can request to return the item for a refund, but you will be responsible for all shipping costs, including the cost to ship the product to you and the cost to return the product back to us.

If you would like to exchange your item for a different size or color, you may exchange your item within thirty (30) days of purchase, but you still will be responsible for all shipping costs, including the return of the item.

While ArtYogi offers products and services purchased directly from Artyogi on our site, there are many third party vendors offering products and services on our site (3rd Party Vendors). 3rd Party Vendors are also referred to as Seller(s) and Artists/Sellers throughout our site. When an order is placed with a 3rd Party Vendor, ArtYogi is not acting as an agent or principal and the contract is made between yourself and the 3rd Party Vendor and will be subject to the shipping policies and all other policies determined and implemented by the 3rd Party Vendor. If you have an inquiry related to shipping for an order placed with a 3rd Party Vendor, please contact them directly.

Our standard processing time is three (3) days after an order is placed for processing and shipment, but this is not guaranteed. A confirmation email is sent once the item leaves our warehouse.

We may, but are not required to, use the following carriers to deliver our orders:

• USPS
• UPS
• FedEx
• DHL

If a tracking number is provided by the shipping carrier, we will update your order with the tracking information. Please note that some orders may not have tracking numbers.

The rate charged for the shipping of your order is based on the weight and dimensions of your products, and your location. Before the final checkout page you will be shown what the cost of shipping will be and you will have a chance to not place your order.

If an item goes on back order we will ship you the part of your order that is in stock. When the item becomes available we will ship you the rest of your order. You will not be charged any additional shipping and handling for the second shipment.

ArtYogi reserves the right to change its shipping practices. If such changes occur, this Shipping Policy will be updated. Users should check back periodically to confirm the then-current terms of this Shipping Policy. This Shipping Policy is not intended to and does not create any contractual or other legal rights in or on behalf of any party.

ArtYogi Inc.’s (ArtYogi) intellectual property policy is pursuant to the Digital Millennium Copyright Act (DMCA) and United States Intellectual property laws.

We respect the intellectual property of others, and we ask you to do the same. If you or any user of this site believes its copyright, trademark or other property rights have been infringed by a posting on this site, you or the user should send notification to our Designated Agent (as identified below) immediately. To be effective, the notification must include:

1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
